Davis Polk advised Morgan Stanley & Co. LLC and J.P. Morgan Securities LLC as joint book-running managers for the several underwriters on a $586.5 million SEC-registered secondary offering of 11,500,000 shares of common stock (including the full exercise of the option) of Molycorp, Inc. by certain stockholders of the company. Davis Polk also advised Morgan Stanley & Co. LLC and J.P. Morgan Securities LLC as joint book-running managers on a concurrent Rule 144A offering by Molycorp, Inc. of $230 million aggregate principal amount of its 3.25% convertible senior notes due 2016, which included the full exercise of the option. Headquartered in Greenwood Village, Colorado, Molycorp is the only rare earth oxide producer in the Western hemisphere and currently produces approximately 3,000 metric tons of commercial rare earth materials per year. Following the execution of Molycorp's "mine-to-magnets" strategy and the completion of both phases of its modernization and expansion efforts at its Mountain Pass, California, processing facility, Molycorp expects to achieve an annual production capacity by the end of 2013 of approximately 40,000 metric tons of rare earth oxide equivalent per year. Molycorp intends to provide to the market a range of rare earth products, including high-purity oxides, metals, alloys and permanent magnets.
